CLEANING SERVICES AGREEMENT
This Agreement is made between:
(1) [providerName] of [providerAddress] (the "Provider"); and
(2) [clientName] of [clientAddress] (the "Client").

1. Services
1.1. The Provider agrees to provide cleaning services at [siteAddress] ([siteType] premises) (the "Site") to the Client.
1.2. Scope of work: [scopeOfWork]
1.3. Frequency: [frequency].
1.4. Estimated time per visit: 3 hours.
2. Standard of work
2.1. The Provider will perform the services with reasonable skill and care (s.49 Consumer Rights Act 2015 / s.13 Supply of Goods and Services Act 1982 where applicable).
2.2. The Provider will use cleaning products and methods appropriate for the surfaces being cleaned and will follow safety data sheets and COSHH guidance for any hazardous substances used.
3. Materials and equipment
3.1. Cleaning materials and equipment will be provided by [materialsProvided].
3.2. Where the Provider supplies materials, the cost is included in the fee unless agreed otherwise.
3.3. The Client warrants that any materials they supply are safe to use and complies with COSHH requirements.
4. Fees and payment
4.1. The Client will pay £[feeAmount] per visit.
4.2. Payment terms: [paymentTerms].
4.3. Late payment may attract interest at 2% above the Bank of England base rate (Late Payment of Commercial Debts (Interest) Act 1998 where the Client is a business).
5. Access and keys

5.2. The Provider will report any damage or loss promptly. Any damage caused by the Provider's negligence is covered by their insurance (clause 7).
6. Cancellation of individual visits
6.1. Either party may cancel an individual scheduled visit by giving at least 24 hours' notice. Cancellation with less notice may incur 50% of the visit fee unless cancellation is due to the Provider's fault.
7. Insurance
7.1. The Provider holds public liability insurance with cover of at least ££1,000,000 and will provide a certificate of insurance on request.
8. Health and safety
8.1. The Provider's staff will follow safe working practices at the Site. The Client will inform the Provider of any specific hazards (e.g. fragile items, allergies to cleaning products).
9. Termination
9.1. Either party may terminate this Agreement on 14 days' written notice without cause.
9.2. Either party may terminate immediately for material breach (including non-payment of fees more than 14 days overdue, or repeated failure to perform).
10. Limitation of liability
10.1. Nothing limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10.2. Subject to that, the Provider's liability for any loss arising from the services is capped at the fees paid in the 12 months preceding the claim.
11. Governing law
11.1. This Agreement is governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
